Terms and Conditions of Service
These Terms and Conditions (“Agreement”) govern the provision of Unified Communications as a Service (“UCaaS”) by Mavericks Office Solutions, Inc., including voice, messaging, collaboration, and related services (“Services”) to the Customer identified in the applicable Order Form or Quote (“Customer”).
By executing an Order Form, Quote, or Service Agreement, Customer agrees to be bound by these Terms and Conditions.
1. Scope of Services
Mavericks UCaaS provides hosted voice, SIP-based calling, messaging, collaboration services, Microsoft Teams integration, and related telecommunications services as described in the applicable Quote or Order Form.
Services may include, but are not limited to:
- Hosted PBX / VoIP services
- SIP trunking
- DID (Direct Inward Dial) numbers
- E911 services
- Text messaging (SMS/MMS), if ordered
- Microsoft Teams Phone / Teams Connector services, if ordered
Services are provided subject to availability, carrier limitations, and applicable federal, state, and local regulations.
2. Term of Agreement
The minimum term of this Agreement is no less than thirty-six (36) months (“Initial Term”) from the Service Activation Date, unless otherwise stated in writing by Mavericks Office Solutions.
Upon expiration of the Initial Term, the Agreement shall automatically renew on a month-to-month basis unless terminated in writing by either party with no less than thirty (30) days’ prior written notice.
Early termination by Customer during the Initial Term may result in early termination fees, including but not limited to the remaining monthly recurring charges for the balance of the term, carrier pass-through costs, and any non-recurring charges incurred by Mavericks Office Solutions.
3. Pricing, Taxes, and Regulatory Fees
All pricing is as set forth in the applicable Quote or Order Form and may include:
- Monthly recurring service charges
- One-time installation, activation, or porting fees
- Usage-based charges (e.g., international calling, toll-free usage)
Customer acknowledges that telecommunications services are subject to federal, state, and local taxes, surcharges, regulatory recovery fees, E911 fees, USF charges, and other carrier-imposed fees, which may change without notice and are not controlled by Mavericks Office Solutions.
Quoted pricing does not include taxes or regulatory fees unless explicitly stated otherwise.
4. E911 and Emergency Services Disclosure
Customer acknowledges and agrees that:
- E911 service operates differently than traditional landline emergency services.
- Proper E911 functionality requires accurate physical address information for each endpoint.
- Customer is responsible for notifying Mavericks Office Solutions of any address changes, moves, or remote/softphone usage.
- Mavericks Office Solutions is not responsible for emergency response failures caused by power outages, internet outages, customer misconfiguration, or inaccurate location data.
Customer agrees to inform all end users of the limitations of VoIP-based E911 services.
5. Number Porting and Ownership
Telephone numbers may be ported subject to carrier approval. Mavericks Office Solutions does not guarantee porting timelines.
Unless otherwise stated, telephone numbers provisioned through Mavericks UCaaS remain the property of the underlying carrier and are assigned to Customer for the duration of active service. Number portability upon termination is subject to carrier rules, account standing, and payment of all outstanding balances.
6. Text Messaging (SMS/MMS) Compliance – If Ordered
If Customer orders or enables SMS or MMS messaging services, Customer acknowledges and agrees to comply with all applicable federal regulations, carrier requirements, and industry standards, including but not limited to:
- TCPA (Telephone Consumer Protection Act)
- CTIA Messaging Principles and Best Practices
- A2P (Application-to-Person) messaging requirements
- Carrier registration and campaign approval requirements
Customer Responsibilities for Texting Services
Customer agrees to:
- Obtain proper express consent (opt-in) from all message recipients prior to sending messages.
- Provide clear opt-out instructions in all messaging campaigns.
- Maintain records of consent upon request.
- Post a Privacy Policy and Messaging Terms on Customer’s public website, including:
- Purpose of messaging
- Data usage and retention practices
- Opt-in and opt-out instructions
- Statement that message and data rates may apply
Customer acknowledges that failure to maintain required policies or comply with carrier mandates may result in immediate suspension or termination of texting services, without liability to Mavericks Office Solutions.
Mavericks Office Solutions is not responsible for fines, penalties, carrier enforcement actions, or legal claims resulting from Customer’s misuse of messaging services.
7. Microsoft Teams Integration and Office 365 Access – If Ordered
If Customer orders Microsoft Teams Phone or Teams Connector services, Customer acknowledges and agrees that:
- Mavericks Office Solutions will supply and configure the Teams Connector / Teams Phone integration as quoted.
- Customer must maintain an active Microsoft 365 tenant and appropriate Microsoft licensing.
- Customer authorizes Mavericks Office Solutions to access the Customer’s Microsoft 365 tenant for the limited purpose of:
- Adding or assigning Teams-related licenses
- Configuring voice routing and integrations
- Troubleshooting service issues
Customer agrees to provide administrative access or delegated permissions as required. Failure to provide timely access may delay service activation and does not relieve Customer of billing obligations.
Microsoft licensing fees are not included unless explicitly stated in the Quote.
8. Customer Responsibilities
Customer is responsible for:
- Maintaining a reliable internet connection with sufficient bandwidth and quality of service
- Providing compatible network equipment and power
- Ensuring firewall and security configurations permit UCaaS traffic
- Informing end users of service limitations
Mavericks Office Solutions is not responsible for service degradation caused by Customer network conditions, third-party ISPs, or force majeure events.
9. Service Availability and Limitations
UCaaS services are provided on a commercially reasonable basis. Mavericks Office Solutions does not guarantee uninterrupted service and shall not be liable for outages caused by:
- Internet service provider failures
- Power outages
- Acts of God
- Carrier or upstream provider issues
- Customer equipment or misconfiguration
10. Limitation of Liability
To the maximum extent permitted by law, Mavericks Office Solutions’ total liability under this Agreement shall not exceed the total amount paid by Customer for Services during the three (3) months preceding the claim.
In no event shall Mavericks Office Solutions be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
11. Termination for Cause
Mavericks Office Solutions may suspend or terminate Services immediately for:
- Non-payment
- Violation of acceptable use or messaging regulations
- Fraudulent or illegal use of Services
- Carrier enforcement actions
Suspension or termination does not waive Customer’s obligation to pay outstanding balances.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.
13. Entire Agreement
These Terms and Conditions, together with the applicable Quote or Order Form, constitute the entire agreement between the parties and supersede all prior discussions or agreements.

MAVERICKS UCaaS
MASTER SERVICES AGREEMENT (MSA)
This Master Services Agreement (“Agreement”) governs the provision of Unified Communications as a Service (“UCaaS”) by Mavericks Office Solutions, Inc. (“Mavericks,” “Provider,” “we,” or “us”) to the customer identified in the applicable Quote or Order Form (“Customer,” “you”).
By executing a Quote, Order Form, or activating Services, Customer agrees to be bound by this Agreement, including the Acceptable Use Policy (Exhibit A).
1. SERVICES
Mavericks provides hosted voice, SIP trunking, messaging, collaboration, Microsoft Teams integration, telephone numbers, E911 services, and related telecommunications services (“Services”) as specified in the applicable Quote or Order Form.
Services are provided on a shared, hosted basis and are subject to network, carrier, and regulatory limitations.
2. TERM AND COMMITMENT
2.1 Initial Term
The minimum term of this Agreement is thirty-six (36) months from the Service Activation Date unless otherwise stated in writing.
2.2 Renewal
Upon expiration of the Initial Term, the Agreement shall automatically renew on a month-to-month basis unless terminated with thirty (30) days’ written notice.
2.3 Early Termination
Early termination during the Initial Term will result in immediate acceleration of:
- All remaining monthly recurring charges
- All carrier pass-through costs
- Any waived or subsidized installation, porting, or equipment costs
This mirrors standard carrier recovery provisions and is not a penalty.
3. FEES, TAXES, AND REGULATORY CHARGES
All fees are exclusive of:
- Federal, state, and local taxes
- Universal Service Fund (USF) charges
- E911 fees
- Regulatory recovery fees
- Carrier-imposed surcharges
Such charges may change without notice and are passed through at cost. Mavericks does not control these fees.
4. EMERGENCY SERVICES (E911)
Customer acknowledges:
- VoIP E911 differs from traditional wireline E911
- Services may not function during power, internet, or network outages
- Accurate location data is required for each endpoint
Customer is solely responsible for:
- Maintaining accurate address records
- Informing users of E911 limitations
- Ensuring compliance for remote or mobile users
Mavericks disclaims liability for emergency service failures outside its reasonable control.
5. TELEPHONE NUMBERS AND PORTING
Telephone numbers are assigned by underlying carriers and remain carrier property.
Number porting:
- Is subject to carrier approval
- Has no guaranteed completion timeline
- Requires accounts to be in good standing
Number release upon termination is subject to carrier rules and full payment of all balances.
6. SMS / MMS MESSAGING SERVICES (IF ORDERED)
6.1 Compliance Obligations
Customer agrees to comply with all applicable laws and industry requirements, including:
- TCPA
- CTIA Messaging Principles
- A2P 10DLC registration rules
- Carrier campaign approval requirements
6.2 Customer Requirements
Customer must:
- Obtain verifiable recipient opt-in
- Provide opt-out instructions in every campaign
- Maintain consent records
- Post publicly accessible Messaging Terms and Privacy Policies on Customer’s website
6.3 Enforcement
Failure to comply may result in immediate suspension or termination of messaging services without liability to Mavericks.
Customer assumes all responsibility for fines, penalties, audits, enforcement actions, or claims arising from messaging use.
7. MICROSOFT TEAMS PHONE & OFFICE 365 INTEGRATION (IF ORDERED)
Customer acknowledges:
- Mavericks provides the Teams Connector / Teams Phone integration as quoted
- Microsoft licenses are not included unless explicitly stated
Customer authorizes Mavericks to access Customer’s Microsoft 365 tenant for:
- License assignment
- Voice routing configuration
- Troubleshooting and support
Customer must provide appropriate administrative access. Delays caused by lack of access do not suspend billing obligations.
8. CUSTOMER RESPONSIBILITIES
Customer is responsible for:
- Internet connectivity and bandwidth
- Network configuration and firewall rules
- Power and environmental conditions
- End-user conduct
Mavericks is not responsible for service degradation caused by Customer environment or third-party providers.
9. SERVICE AVAILABILITY
Services are provided on a commercially reasonable basis. Mavericks does not guarantee uninterrupted service and is not liable for outages caused by:
- ISPs
- Power failures
- Carrier issues
- Force majeure events
10. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Mavericks’ total liability is limited to fees paid in the three (3) months preceding the claim
- Mavericks is not liable for indirect, incidental, or consequential damages
11. SUSPENSION AND TERMINATION
Mavericks may immediately suspend or terminate Services for:
- Non-payment
- Fraud or illegal use
- AUP violations
- Carrier enforcement actions
Suspension does not waive payment obligations.
12. GOVERNING LAW
This Agreement is governed by the laws of the State of Ohio.
13. ENTIRE AGREEMENT
This Agreement, the Quote, Order Form, and Exhibit A constitute the entire agreement.
EXHIBIT A
ACCEPTABLE USE POLICY (AUP)
This Acceptable Use Policy aligns with national carrier standards and RingCentral-style enforcement models.
1. PROHIBITED USES
Customer may not use Services for:
- Fraudulent, deceptive, or misleading activities
- Harassment, threats, or abusive conduct
- Spam, robocalls, or unauthorized autodialing
- Violations of TCPA, CAN-SPAM, or CTIA rules
- Transmission of malware or malicious code
- Illegal content or activities
2. CALLING PRACTICES
Customer may not:
- Engage in high-volume outbound calling inconsistent with normal business use
- Use Services for predictive dialing without proper consent
- Bypass caller ID or spoof numbers
3. MESSAGING PRACTICES
For SMS/MMS:
- Opt-in is mandatory
- Opt-out must be honored immediately
- Message content must match approved campaign use
- Sharing or reselling messaging services is prohibited
4. FAIR USE
Unlimited plans are subject to reasonable, carrier-defined fair use limits. Excessive usage may result in throttling, suspension, or termination.
5. ENFORCEMENT
Mavericks may:
- Monitor usage for compliance
- Suspend Services immediately for violations
- Cooperate with carrier or regulatory investigations
Customer remains responsible for all charges incurred prior to suspension.
6. NO LIABILITY
Mavericks is not responsible for losses resulting from enforcement actions required by carriers or regulators.
